Welcome to Continuum! This is a summary of our Terms of Service (“Terms”), which govern your use of our platform and services. By accessing or using our services, you agree to be bound by the Terms. If you do not agree, please do not use our services.

1. Overview

OnePlace Company Inc. d/b/a Continuum (“Continuum”, “we”, “us”) is an AI-powered client intelligence platform. These Terms outline your rights and responsibilities when using our services.

2. Access & Use

We grant you a limited, revocable, non-transferable, non-sublicensable license to use the Continuum platform in accordance with these Terms.

2.1 Permitted Use

✅ Use the platform solely for your internal business operations.

✅ Ensure that all users comply with these Terms.

2.2 Restrictions

❌ Do not copy, modify, distribute, or create derivative works of the platform.

❌ Do not reverse-engineer, decompile, or attempt to access the platform’s source code.

❌ Do not interfere with the platform’s functionality, security, or AI data processing.

3. Customer Responsibilities

You are responsible for:

  • Account Use – Keeping login credentials secure.

  • Customer Data – Ensuring your data does not violate laws or third-party rights.

  • Third-Party Integrations – Managing your connections to external services such as email and storage platforms.

  • Compliance – Using the platform in line with all applicable laws.

4. Service Levels & Support

We aim for 99.5% uptime and provide support services as outlined in your Ordering Document.

🔹 Service Suspension – We may temporarily suspend access for maintenance, security concerns, or regulatory reasons. 

🔹 Third-Party Services – Some platform features rely on third-party providers whose terms apply separately.

5. Fees & Payment

💳 Payment Obligations – Fees are set in your Ordering Document and must be paid as per agreed terms. 

🚀 Free Trial – A 30-day trial may be offered, after which a paid plan is required. 

❌ Failure to Pay – Unpaid fees may result in account suspension.

6. Taxes

You are responsible for all applicable taxes, including but not limited to sales tax, VAT, and any other government-imposed charges. Taxes will be added to your invoice where required by law.

7. Confidential Information

Both parties agree to protect each other’s confidential business information and not disclose it to third parties, except as required by law.

Confidential information does not include publicly available data or information independently developed without reference to disclosed materials.

8. Privacy Policy

We collect, use, and protect your data in accordance with our Privacy Policy. You can review our full policy [here].

By using our services, you consent to the collection and processing of your data, including AI-powered analytics and integrations with third-party platforms.

9. Intellectual Property & Feedback

Continuum owns all rights to its platform, including all software, documentation, and branding.

🛠 Feedback – If you submit feedback or suggestions, we may use them without obligation to you.

10. Limited Warranty and Warranty Disclaimer

The platform is provided “as is” without warranties. We do not guarantee:

❗ That the platform will be error-free or uninterrupted.

❗ That it will meet your specific business needs.

❗ That third-party integrations will always function as expected.

11. Indemnification

Each party agrees to indemnify and defend the other against legal claims arising from:

  • Continuum – Protects you from claims alleging that our services infringe third-party rights.

  • Customer – Protects us from claims arising from your misuse of the platform, including third-party data rights violations.

12. Limitation of Liability

We are not liable for: 

❌ Indirect, incidental, or consequential damages. 

❌ Loss of business, revenue, or data.

Our total liability is limited to fees paid in the last 12 months or $1,000,000, whichever is lower.

13. Term & Termination

🔹 Subscription Term – Your access continues based on the Ordering Document’s terms, with auto-renewal unless canceled. 

🔹 Termination by Continuum – We may terminate for non-payment or violations of these Terms. 

🔹 Termination by You – You may cancel at any time through your account settings (no refunds for unused time).

Upon termination, all rights to access and use the platform end immediately.

14. Modifications

We may modify these Terms at any time. Significant changes will be communicated, and continued use after updates constitutes acceptance.

15. Governing Law

These Terms are governed by Ontario, Canada law.

16. Choice of Forum

Any disputes must be resolved in Ontario courts.

17. Miscellaneous

  • Notices – Official notices must be sent to our corporate address.

  • Electronic Communications – By using our services, you consent to receive electronic notifications and agreements.

  • Assignment – You may not transfer your rights under these Terms without our written consent.
